R&D tax audit: what to expect, how to prepare, and how a mock audit helps

An R&D tax audit is an examination of a research credit claim by the IRS or a state revenue agency. The examiner tests whether the work qualified, whether the expenses qualified, and whether the records support both. This guide explains what an R&D tax credit audit looks like, how to prepare for one, and how a mock R&D tax audit shows you the examiner's view before the examiner does.

What an R&D tax audit is

The federal research credit under IRC section 41 is claimed on Form 6765. When the IRS examines the claim, it issues Information Document Requests (IDRs) asking for the evidence behind each part of it: the business components, the technical uncertainty and the process of experimentation, the wages and time of the people involved, supplies and contract research, and the calculation. A state R&D credit audit follows the same pattern for the state program, with the added question of where the research was physically performed.

An R&D tax audit is not a review of the science. It is a review of the records. Most adjustments come from evidence that was never created, was created after the fact, or cannot be tied to a specific business component.

How an IRS R&D audit works

  1. 1Notice and first IDRThe examination opens with a notice and a first Information Document Request, often asking for the Form 6765 workpapers, a list of business components and the wage detail.
  2. 2Follow-up IDRs by business componentThe examiner works through the four-part test and the expense categories for each business component, asking for contemporaneous records: tickets, test results, design reviews, time records, contracts.
  3. 3Interviews and site visitsEngineers and managers may be interviewed about what was uncertain and what was tried. Later narratives carry less weight than records made during the work.
  4. 4Proposed adjustmentsWhere the evidence does not support a question, the examiner proposes to reduce the credit. Red-flag areas, such as unsupported wage allocation, can affect the whole claim.

What examiners test in an R&D tax credit audit

AreaWhat the examiner asks forWhere claims fail
Qualification (four-part test)Specifications, kickoff materials, test plans and results per business componentNarratives written for the claim, with no dated records behind them
Wages and timePayroll register, W-2 data, time by project and activityPercentages estimated after the year end with no corroboration
Contemporaneous documentationTickets, commits, lab notebooks, design reviewsA project tracked in a tool that was never exported
Supplies and contract researchInvoices, usage records, signed contracts showing risk and rightsContracts silent on who owns the results
Calculation and electionsForm 6765, prior-year forms, base-period consistencyCategories defined differently across years
State locationWork locations, withholding codes, facility recordsRemote engineers in the state wage base

How to prepare for an R&D tax audit

  • Assemble the file per business component, not per department: each project needs its own four-part-test records.
  • Reconcile wages three ways: payroll register to W-2 file to the amounts claimed, employee by employee.
  • Export the dated history from ticketing and version-control systems for the whole tax year.
  • Keep contracts with their terms on economic risk and substantial rights, and invoices with usage records for supplies.
  • Tie Form 6765 to the schedules and the schedules to the source records, and check the base period uses the same definitions.
  • For a state claim, document where every engineer worked and apportion wages for anyone outside the state.

The R&D tax audit checklist on the evidence page lists the eleven categories of record and the examiner questions each one answers.

A mock R&D tax audit: the examiner's view before the examiner

A mock R&D tax audit runs the same questions against your records before the IRS or a state does. creditARMOR reads your Form 6765 and state forms, fills in the business components from Section G, asks for the documents behind each project, and then rates every examiner question Strong, Weak or Missing against those documents. Each project gets its own draft IDR response, a risk score and a fix plan ordered by what matters most.

The result is a list of gaps while there is still time to close them, and a drafted response your advisor can start from. creditARMOR’s free R&D mock audit is completely free: book a call or email hello@creditarmor.ai for a login.

R&D tax audit risk: what the score measures

creditARMOR's R&D tax audit risk score counts evidence gaps from 0 to 100, weighted by how much each question matters, with red flags that can override the band. It is a measure of how well the file supports the claim, not a prediction of whether an audit will happen or how an examiner will decide. The methodology page shows the formula.

R&D tax audit defense

If an examination is already open, the records still decide the outcome, and a mock audit helps organize them against the questions you will face. Official IDRs and deadlines remain separate, and representation stays with your advisor. Swanson Reed's audit defense service supports existing examinations; where a claim passes a qualifying creditARMOR mock audit, that support is offered pro bono under the service terms.

State R&D credit audits

Thirty-six states run their own research credit, usually following the federal definitions but limited to research performed in the state, with their own forms, carryforward rules and sometimes registration or pre-approval. A state R&D credit audit therefore adds location and apportionment questions to the federal ones. The credit database has each state's rules and official source.

Questions people ask

What triggers an R&D tax audit?

The IRS does not publish its selection rules. Claims are examined for many reasons, including the size of the credit relative to the business, amended refund claims, inconsistencies between years, and random selection. Preparation is the only part you control.

How far back can an R&D tax credit audit go?

Generally the statute of limitations is three years from filing, longer where a substantial understatement or fraud is alleged. Carried-forward credits can also be examined in the year they are used, which can reach back to the year the credit was generated.

What documents does an IRS R&D audit ask for?

Typically the Form 6765 workpapers, a list of business components, payroll and time records, technical documents such as specifications, tickets and test results, contracts for contract research, supply invoices and the prior-year forms behind the base amount.

What is a mock R&D tax audit?

A simulated examination that asks the questions an examiner is likely to ask, rates your evidence for each one, scores the gaps and drafts a response. creditARMOR runs one per business component. It finds the gaps before the real audit does; it does not certify a claim or replace an advisor.

Does a low R&D tax audit risk score mean the claim is safe?

No. A low score means few evidence gaps were found in the records supplied. The IRS and state agencies exercise their own judgment, and the score is a product methodology, not a determination.

Can a mock audit help during an open examination?

Yes, as a way to organize records against the questions and draft first responses for your advisor. It does not extend deadlines, answer official IDRs or provide representation.

General in nature, not tax advice.
